1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Luxe Digital Collective LLC ("Company," "we," "us," or "our"), governing your access to and use of SpotFill, available at spotfill.co ("Service").
By creating an account, subscribing to a plan, or otherwise accessing or using SpotFill, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.
If you are using SpotFill on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to that entity.2. About SpotFill
SpotFill is a software-as-a-service platform that helps appointment-based businesses automate the creation and delivery of branded social media Story content for last-minute appointment cancellations. The Service includes:
Automated Story image generation using your brand assets via the Placid API
AI-powered caption generation via OpenAI
Cancellation intake via web form, SMS, or booking system integration
Delivery of generated assets via email through SendGrid
Integration with supported booking platforms including Mindbody, Square, Vagaro, Boulevard, Zenoti, Acuity, and Fresha
SpotFill is intended solely for use by businesses and professional users. It is not a consumer product.3. Eligibility
To use SpotFill, you must:
Be at least 18 years of age
Be operating a legitimate business or acting on behalf of one
Have the legal authority to enter into binding contracts
Not be prohibited from using the Service under applicable law
Provide accurate, current, and complete information during registration and maintain that information throughout your subscription
We reserve the right to refuse service, terminate accounts, or restrict access to any user at our sole discretion.4. Account Registration and Security
4.1 Account Creation
To access SpotFill, you must register for an account and provide accurate information including your business name, email address, phone number, and payment details. You agree to keep this information current and accurate at all times.
4.2 Account Security
You are solely responsible for:
Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Any API keys, booking system credentials, and integration tokens you provide to SpotFill
You agree to notify us immediately at [email protected] if you become aware of any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from unauthorized use of your account resulting from your failure to maintain credential security.
4.3 One Account Per User
Unless you are subscribed to a multi-location plan, each account is intended for use by a single business location. Creating multiple accounts to circumvent plan limitations or pricing is prohibited and may result in immediate account termination.5. Subscription Plans and Billing
5.1 Available Plans
SpotFill offers the following subscription plans:

5.2 Billing and Payment
By subscribing to SpotFill, you authorize us to charge your designated payment method on a recurring basis according to your selected plan. Subscriptions are billed:
Monthly plans: On the same date each month following your initial payment
Annual plans: On the same date each year following your initial payment
Multi-location plans: Monthly per location, billed on the same date each month
You are responsible for ensuring your payment information is current and accurate. If a payment fails, we may suspend access to your account until payment is resolved. We reserve the right to use third-party payment processors to handle billing transactions.
5.3 Taxes
Subscription fees are exclusive of applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service, excluding taxes on our net income.
5.4 Cancellation — Monthly Plans
Monthly subscribers may cancel at any time through their account settings or by contacting [email protected]. Cancellations take effect at the end of the current billing period. No refunds or credits are issued for partial months, unused features, or unused days remaining in a billing period.
5.5 Cancellation — Annual Plans
Annual subscriptions are non-cancellable and non-refundable. By purchasing an annual plan, you acknowledge and agree that you will not receive a refund or credit for any portion of the subscription period, including in cases of early termination, account closure, or non-use. This policy applies without exception unless required by applicable law.
5.6 Price Changes
We reserve the right to modify subscription pricing at any time. For existing subscribers, we will provide at least 30 days' written notice of any price increase before the change takes effect. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing. If you do not accept the new pricing, you may cancel your subscription before the change takes effect.
5.7 Free Trials and Promotional Pricing
If we offer a free trial or promotional pricing, the specific terms of that offer will be disclosed at the time of sign-up. Unless you cancel before the end of the trial or promotional period, your subscription will automatically convert to the applicable paid plan and you will be charged accordingly.6. Acceptable Use
6.1 Permitted Use
You may use SpotFill solely for its intended purpose: generating and distributing branded social media Story content for your own business in connection with appointment cancellations.
6.2 Prohibited Conduct
You agree not to use SpotFill to:
Violate any applicable local, state, national, or international law or regulation
Generate content that is false, misleading, defamatory, obscene, or fraudulent
Infringe the intellectual property rights of any third party
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Distribute spam, unsolicited communications, or deceptive marketing content
Circumvent, disable, or interfere with security-related features of the Service
Scrape, crawl, or extract data from SpotFill by automated means without our express written consent
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
Use the Service to develop a competing product or service
Resell, sublicense, or otherwise transfer access to SpotFill to third parties without our written authorization
Transmit malicious code, viruses, or any software designed to interfere with the Service
Use the Service in any way that places an unreasonable or disproportionate load on our infrastructure
We reserve the right to investigate suspected violations and, where appropriate, suspend or terminate accounts, report activity to law enforcement, and pursue legal remedies.7. Your Content and Brand Assets
7.1 Ownership of Your Content
You retain full ownership of all content, brand assets, and data you submit to SpotFill, including but not limited to your business name, logo, Instagram handle, service information, and booking system data ("Your Content").
7.2 License to SpotFill
By submitting Your Content to SpotFill, you grant Luxe Digital Collective LLC a limited, non-exclusive, royalty-free, worldwide license to use, reproduce, process, and display Your Content solely for the purpose of providing the Service to you. This license does not grant us the right to use Your Content for marketing, advertising, or any purpose beyond operating the Service on your behalf.
7.3 Your Representations
By submitting content to SpotFill, you represent and warrant that:
You own or have the necessary rights and permissions to submit Your Content
Your Content does not infringe any third-party intellectual property, privacy, or publicity rights
Your Content complies with all applicable laws and regulations
You have the right to grant us the license described above
7.4 Generated Content
Content generated by SpotFill on your behalf — including Story images and AI-generated captions — is provided for your business use. You are solely responsible for reviewing generated content before publishing it to any social media platform or sharing it with third parties. We make no warranty that generated content will be error-free, complete, or suitable for any particular purpose.8. Booking System Integrations and API Credentials
8.1 Your Responsibility
When you connect a third-party booking platform to SpotFill, you represent and warrant that:
You are authorized to grant SpotFill access to that platform on behalf of your business
Your use of the integration complies with the terms of service of the applicable booking platform
You will promptly revoke SpotFill's access if you terminate your subscription or no longer wish to use the integration
8.2 Our Access
We access your booking platform data only to the minimum extent necessary to identify cancellations and trigger Story generation. We do not access, store, use, or share your customers' personal information beyond what is operationally required for this purpose.
8.3 Third-Party Platform Changes
We are not responsible for changes, disruptions, or deprecations to third-party booking platform APIs that may affect integration functionality. We will make reasonable efforts to maintain integrations but cannot guarantee uninterrupted connectivity with any third-party platform.9. Third-Party Services
SpotFill relies on third-party service providers to deliver core functionality, including Placid (image generation), OpenAI (caption generation), SendGrid (email delivery), Twilio (SMS processing), and Notion (database operations). Your use of SpotFill is subject to the terms and privacy policies of these providers.
We are not responsible for the availability, performance, or conduct of third-party services. Interruptions or changes to third-party services may affect SpotFill functionality, and we will not be liable for resulting service disruptions beyond our reasonable control.10. Compliance With Platform and Advertising Rules
You are solely responsible for ensuring that all content generated by SpotFill and published by you complies with:
Instagram, Facebook, and TikTok community guidelines, terms of service, and advertising policies
Federal Trade Commission (FTC) guidelines on advertising disclosures
Food and Drug Administration (FDA) regulations applicable to your industry
All other applicable federal, state, and local laws governing your business and marketing activities
While SpotFill is designed to produce compliant captions, we make no guarantee that generated content will satisfy every applicable regulatory requirement for your specific business, industry, or jurisdiction. Final responsibility for compliance rests with you.11. Intellectual Property
11.1 Our Intellectual Property
SpotFill, including its software, design, features, functionality, trademarks, and all content created by us, is owned by Luxe Digital Collective LLC and protected by copyright, trademark, trade secret, and other intellectual property laws. These Terms do not transfer any ownership interest in our intellectual property to you.
11.2 Feedback
If you submit suggestions, ideas, feedback, or recommendations about SpotFill ("Feedback"), you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, implement, and incorporate that Feedback into the Service without restriction or compensation to you.12. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
You agree to keep confidential any access credentials, technical documentation, or proprietary information provided to you in connection with the Service.13. Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, Luxe Digital Collective LLC expressly disclaims all warranties, including but not limited to:
Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Service will be uninterrupted, error-free, or free of harmful components
Warranties regarding the accuracy, completeness, or reliability of any generated content
Warranties that the Service will meet your specific business requirements or produce any particular business outcome
You use SpotFill at your own risk. No advice or information, whether oral or written, obtained from us or through the Service creates any warranty not expressly stated in these Terms.14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LUXE DIGITAL COLLECTIVE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:
Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, business, or goodwill
Damages resulting from unauthorized access to or alteration of your data
Damages resulting from third-party service interruptions or API failures
Damages resulting from content published by you based on SpotFill-generated output
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by applicable law.15. Indemnification
You agree to defend, indemnify, and hold harmless Luxe Digital Collective LLC and its officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Your use of the Service in violation of these Terms
Your Content or brand assets submitted to SpotFill
Content you publish to social media platforms using SpotFill-generated assets
Your violation of any applicable law or regulation
Your breach of any third-party rights, including intellectual property or privacy rights
Your use of third-party booking platform integrations in violation of those platforms' terms16. Service Availability and Modifications
16.1 Availability
We strive to maintain reliable Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, third-party service disruptions, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance.
16.2 Modifications to the Service
We reserve the right to modify, update, or discontinue any feature or aspect of SpotFill at any time. For material changes that significantly affect core functionality, we will provide reasonable advance notice to active subscribers. Your continued use of the Service following any modification constitutes acceptance of the change.
16.3 Discontinuation
If we discontinue SpotFill entirely, we will provide at least 30 days' advance written notice to active subscribers. Monthly subscribers will receive a prorated refund for any unused days in their current billing period. Annual subscribers will receive a prorated refund for the remaining unused months of their subscription term, calculated from the date of discontinuation notice.

17.3 Effect of Termination
Upon termination of your account:
Your right to access and use the Service ceases immediately
We will retain your data for 90 days following termination, after which it will be deleted in accordance with our Privacy Policy
Provisions of these Terms that by their nature should survive termination — including Sections 7, 11, 13, 14, 15, 19, and 20 — will remain in full force and effect18. Privacy
Your use of SpotFill is also governed by our Privacy Policy, available at spotfill.co/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.19. Governing Law and Dispute Resolution
19.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.
19.2 Dispute Resolution
Before initiating formal legal proceedings, you agree to contact us at [email protected] and attempt to resolve any dispute informally for at least 30 days. If informal resolution is unsuccessful:
For claims under $10,000: Either party may elect binding arbitration through a mutually agreed arbitration service. Arbitration will be conducted in Clark County, Nevada, or remotely by mutual agreement.
For claims over $10,000: Disputes shall be resolved exclusively in the state or federal courts located in Clark County, Nevada. You consent to the personal jurisdiction of those courts.
19.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Luxe Digital Collective LLC.
19.4 Time Limitation
Any claim arising under or related to these Terms must be brought within one (1) year of the date the cause of action accrued, or it will be permanently barred.20. General Provisions
20.1 Entire Agreement
These Terms, together with our Privacy Policy and any order forms or plan-specific terms, constitute the entire agreement between you and Luxe Digital Collective LLC regarding the Service and supersede all prior agreements, understandings, and communications on this subject.
20.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
20.3 Waiver
Our failure to enforce any provision of these Terms on one occasion does not constitute a waiver of our right to enforce that provision or any other provision in the future.
20.4 Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
20.5 Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure outages, third-party service failures, or labor disputes.
20.6 No Agency
Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Luxe Digital Collective LLC. You have no authority to bind us to any obligation.
20.7 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.21. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will:
Update the "Last Updated" date at the top of these Terms
Notify active subscribers via email at least 14 days before changes take effect
Post the updated Terms at spotfill.co/terms
Your continued use of SpotFill after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the effective date.22. Contact Information
